Terms of Service

Welcome to MailWell! We're happy to have you join us. These Terms of Service ("Terms") are a binding legal agreement between you and MailWell ("we," "us," or "our"). They govern your access to and use of our journaling service, including our website, emails, and any related applications (collectively, the "Service").

By creating an account or using our Service, you agree to be bound by these Terms and our Privacy Policy. Please read them carefully.

1. The Service

MailWell is a digital journaling service designed to help you reflect and grow. We provide daily prompts via email and a secure platform to store your journal entries. Our features may evolve over time, and we reserve the right to modify or discontinue parts of the Service.

2. Eligibility and User Accounts

To use MailWell, you must be at least 13 years old (or the minimum age required to consent to data processing in your country).

You are responsible for your account. This includes:

  • Providing Accurate Information: You agree to provide true and current information when you sign up.
  • Account Security: You are responsible for safeguarding your account login credentials. Our authentication is managed by Clerk, but you are responsible for all activities that occur under your account. Notify us immediately if you suspect any unauthorized use.

3. Subscriptions, Payments, and Cancellation

Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle provides customer service inquiries for payments and handles returns. By purchasing, you are transacting with Paddle and agree to their Terms of Use.

Paid Service: MailWell is a subscription-based service. By subscribing, you agree to pay the fees specified at the time of purchase. The pricing for the service is $4.5 per month (exclusive of taxes), or as otherwise displayed on our pricing page.

Billing: All payments are processed through Paddle. Payments are billed in advance on a recurring basis (e.g., monthly or annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel it.

Cancellation: You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that date.

Refunds: Subscription fees are non-refundable, except where required by law or as determined by Paddle's buyer terms. We do not provide refunds or credits for partial subscription periods.

4. Content and Ownership

This is your journal, and your words belong to you.

  • You Own Your Content: You retain full ownership of the journal entries, reflections, and any other content you submit to the Service ("Your Content").
  • Our License to Your Content: To provide the Service, we need a limited license to Your Content. You grant MailWell a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process Your Content solely for the purpose of operating, providing, and improving the Service. For example, we need this license to save your entries to our database (hosted by Convex) and display them back to you. If you opt-in to AI features (powered by OpenAI), this license extends to analyzing your entries to provide you with insights.
    In accordance with OpenAI's API data usage policies, your data is not used to train their models and is not stored long-term on their systems. We will never use Your Content for any other purpose without your explicit permission.

5. Acceptable Use Policy

You agree not to misuse the Service. This means you will not:

  • Use the Service for any illegal or unauthorized purpose.
  • Post or transmit content that is hateful, abusive, harassing, or otherwise objectionable.
  • Infringe upon the intellectual property rights of others.
  • Upload any viruses, malicious code, or other harmful software.
  • Attempt to disrupt, reverse engineer, or compromise the integrity or security of the Service.

We reserve the right to suspend or terminate accounts that violate these rules.

6. Termination

  • By You: You can stop using the Service and delete your account at any time from your account settings.
  • By Us: We may suspend or terminate your access to the Service at any time, with or without cause, if you breach these Terms or if your use of the Service could cause legal or technical harm to us or others.

7. Disclaimers and Limitation of Liability

"AS IS" Service: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability: To the fullest extent permitted by law, in no event will MailWell or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Service. Our total liability for any claim arising out of these terms or the service will not exceed the amount you paid us, if any, in the 12 months prior to the claim.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Mumbai, Maharashtra, India.

9. Changes to These Terms

We may modify these Terms from time to time. If we make a change that we believe materially affects your rights, we will notify you by email or through the Service at least 30 days before the change takes effect. By continuing to use the Service after the changes become effective, you agree to the revised Terms.
